Terms of Service

1. Scope

These Terms of Service govern all services provided by Nico Weiß / Kairon ("SiteFlip") to businesses and independent contractors through siteflip.app. By requesting a free preview or purchasing a plan, you agree to these terms.

3. Free Preview

The free redesign preview does not constitute a contract. No payment is required and no obligation is created. SiteFlip reserves the right to decline a preview request without providing a reason. A contract is only formed upon your explicit selection of a paid plan.

4. Plans & Pricing

All prices are net prices. Applicable taxes will be added where required. Payments are due in advance. Monthly plans are billed automatically at the start of each billing cycle.

5. Cancellation

The Starter plan is a one-time purchase with no ongoing commitment. Monthly plans (Growth, Scale) run indefinitely and may be cancelled at any time with 14 days' notice before the end of the current billing month. Cancellations must be submitted by email to siteflip@kairon.co.

6. Content Updates

Included in monthly change allowances:

Structural redesigns, new page sections, and technical features (booking systems, integrations) are not included and will be quoted separately. Changes exceeding the monthly allowance will also be quoted separately.

7. Client Responsibilities

You agree to provide all necessary content, images, and materials required to complete your website. You confirm that you own or have the right to use all materials provided. Delays caused by missing client input do not constitute a breach on SiteFlip's part.

8. Intellectual Property

Upon full payment of the Starter plan, you receive full ownership of the website source code. For monthly plans, you receive a non-exclusive license to use the website for the duration of the contract. Source code may be purchased upon cancellation for an agreed fee.

9. Limitation of Liability

SiteFlip is liable without limitation for intent and gross negligence. For ordinary negligence, liability is limited to foreseeable, contract-typical damages arising from breach of material contractual obligations. Liability for indirect damages and lost profits is excluded to the extent permitted by law.

10. Governing Law

These terms are governed by German law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For business clients, the exclusive place of jurisdiction is Nuremberg, Germany.

11. Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions remain in full force. The invalid provision shall be replaced by the legally permissible rule that most closely reflects the economic intent of the original provision.
